OPERATING AGREEMENT OF LYRAE GROUP LLC

This Operating Agreement ("Agreement") is entered into and made effective as of July 2, 2025, by

the sole member listed below, for the purpose of forming and operating a limited liability company

under the laws of the State of Missouri.

1. Company Name and Formation

The name of the limited liability company is Lyrae Group LLC ("Company"), organized under the

laws of the State of Missouri on file with the Missouri Secretary of State, Registration No.

LC014634484.

2. Business Purpose

The purpose of the Company is to engage in any lawful business activity permitted under Missouri

law, including but not limited to media, apparel, digital platforms, and e-commerce operations.

3. Principal Office

The principal office of the Company shall be the address of the sole member unless otherwise

designated in writing.

4. Fictitious Name / DBA

The Company shall operate certain business activities under the fictitious name "Gods Not Cruel",

as registered with the Missouri Secretary of State, Registration No. X001845221. This DBA is wholly

owned and controlled by Lyrae Group LLC.

5. Ownership

The Company is a single-member LLC, wholly owned and managed by:

6. Tax Treatment

The Company shall be taxed as a disregarded entity (sole proprietorship) by default unless

otherwise elected.

7. Management

The sole member shall have full authority to manage and control the affairs of the Company. No

other person shall have authority to act on behalf of the Company without written authorization from

the member.

8. Bank Accounts

The Company is authorized to open business bank accounts in the name of Lyrae Group LLC,

including for any DBA such as Gods Not Cruel.

9. Indemnification

The Company shall indemnify the member against any liability incurred in the ordinary course of

business, to the fullest extent allowed by law.

10. Amendments

This Agreement may be amended or updated by the sole member at any time with written notice.
